CySEC Confirms Dissolution and Liquidation Process for ANABAZA RAIF V.C.I.C.
CySEC Notified of Fund Liquidation
The Cyprus Securities and Exchange Commission (CySEC) has announced that ANABAZA RAIF V.C.I.C. LTD has formally initiated dissolution and liquidation procedures. The notification was submitted to the regulatory authority by the fund’s appointed external manager, AIFCAP MANAGERS LTD, in accordance with the regulatory requirements set out in the national fund framework.
According to CySEC, the notification was made pursuant to Article 138(7)(a) of the Alternative Investment Funds Law of 2018. The regulator confirmed that ANABAZA RAIF V.C.I.C. LTD (Legal Entity Identifier: 2594000PQNZJROXO1060), which is registered under number RAIF81, will remain on CySEC’s official RAIF Registry throughout the winding-up process, marked with the designated status “under liquidation”.
Entity Background and Corporate Structure
ANABAZA RAIF V.C.I.C. LTD is established as an open-ended or variable capital investment company with limited liability under Cyprus company law (Registration Number: HE 262615), having initially been incorporated in February 2010 before operating within the Registered Alternative Investment Fund (RAIF) framework.
Under the supervision of its external manager, AIFCAP MANAGERS LTD, the entity operated as a RAIF, a vehicle category introduced under the Alternative Investment Funds Law of 2018 to offer an efficient, cost-effective fund structure. RAIFs do not require direct authorisation from CySEC at the fund level; instead, regulatory oversight is exercised indirectly through their authorised external alternative investment fund manager (AIFM).
The Winding-Down Framework and Next Steps
The commencement of liquidation triggers a structured legal and operational sequence designed to protect unitholders, creditors, and the wider market. The key procedural steps include:
- Public Registry Status: CySEC will maintain the entity on the official public register on its website, updating its record with the explicit label “under liquidation” to ensure complete transparency for counterparties and market participants.
- Orderly Realisation of Assets: The liquidator and external manager will oversee the winding-up of the fund’s portfolio, the settlement of outstanding liabilities, and the equitable distribution of net remaining proceeds to eligible investors.
- Final Deregistration: In accordance with Article 138(9) of the Alternative Investment Funds Law of 2018, CySEC will formally strike the vehicle from the RAIF Registry once the dissolution process is concluded and all statutory completion documentation has been submitted and verified.
Implications for the Cyprus Fund Ecosystem
The dissolution of an investment vehicle is a natural phase in the lifecycle of private funds, often resulting from the expiration of a fund’s investment horizon, full asset divestment, or strategic restructuring by the fund sponsor. However, the orderly winding down of registered vehicles remains an important indicator of regulatory health.
For institutional investors and fund promoters in Cyprus, the formal handling of the ANABAZA RAIF liquidation underscores the predictability of the 2018 AIF Law. By ensuring that fund closures follow transparent statutory steps and remain publicly traceable until final deregistration, CySEC maintains market integrity and preserves confidence in Cyprus as an expanding European fund domicile.
