CySEC Confirms Dissolution of Limassol-Based Fund

The Cyprus Securities and Exchange Commission (CySEC) has formally announced that AIFLNP Corimia Real Estate AIFLNP V.C.I.C. Limited, operating under License Number LPAIF31/2014, has been dissolved and placed into liquidation. The regulatory announcement, issued on 13 October 2026 from Nicosia, follows a direct decision made by the general meeting of the fund's shareholders.

According to the official regulatory notice, the action is being carried out in accordance with article 132(1)(e) of the Alternative Investment Funds Law of 2018. Furthermore, the fund officially communicated its dissolution to CySEC pursuant to article 63(8) of the same legislative framework. Crucially, market regulators and investors should note that the fund has been put into voluntary liquidation rather than facing regulatory enforcement measures or compulsory winding-up orders.

Background on Corimia Real Estate AIFLNP

Corimia Real Estate AIFLNP V.C.I.C. Limited is an open-ended multi-class investment company with variable capital. Incorporated in Cyprus under the Companies Law Cap. 113 with registration number HE 356490, the entity has historically maintained its registered office at Arch. Makariou III, 155, Proteas House, Floor 5, 3026 Limassol. Regulated by CySEC as an Authorised Alternative Investment Fund with Limited Number of Persons (AIFLNP), the fund has operated within the island's regulated collective investments sector since receiving its regulatory authorisation.

What This Means for the Cyprus Market

The voluntary winding up of a licensed alternative investment fund highlights the normal lifecycle and strategic restructuring decisions available to fund promoters and shareholders under Cypriot corporate and securities law. Because the liquidation is voluntary and driven by the shareholders themselves rather than a punitive CySEC directive, it reflects an internal business decision regarding the fund's assets or future viability rather than a systemic regulatory failure.

For investors, a voluntary liquidation means that the appointed liquidator will systematically wind up the fund's affairs, realise its real estate and other assets, settle liabilities, and distribute any remaining proceeds to the shareholders in accordance with their respective share classes and legal entitlements. Investors connected to the fund are advised to liaise directly with the fund's management or the officially designated liquidator to monitor the distribution timeline and asset realization process.

CySEC continues to oversee the formal administrative steps required to withdraw the fund's license upon the successful completion of the liquidation proceedings, ensuring transparency and adherence to the Alternative Investment Funds Law of 2018.
